These Terms of Service (“Terms”) govern your access to and use of List99.com and related services (the “Platform”), operated by List99 Inc. (“List99,” “we,” “us,” or “our”). By using the Platform, you agree to these Terms.

1. Platform Nature and Role

List99 provides a technology platform that enables users to list, buy, sell, auction, lease, or exchange goods and services.

• List99 is not a buyer or seller.
• List99 does not take title to goods.
• List99 does not guarantee user performance.
• List99 is not a party to transactions between users.

2. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter binding contracts.
• You must not be prohibited by law, sanctions, or trade restrictions from using the Platform.
• You must comply with all applicable laws and regulations.

3. Electronic Communications

You consent to receive communications from List99 electronically, including by email, platform messages, text message, push notification, or posted notice, where permitted by law.

4. Account Responsibility

• You are responsible for all activity under your account.
• You must maintain the confidentiality of your credentials.
• You must provide accurate, current, and complete information.

List99 may suspend or terminate accounts at any time in its sole discretion.

5. Platform Enforcement Authority

List99 may, at its sole discretion and without prior notice:

• Remove, modify, or restrict listings, content, or account functionality
• Suspend, limit, or terminate accounts
• Withhold, delay, restrict, or retain funds
• Reverse or cancel transactions
• Require identity verification or supporting documentation
• Report activity to law enforcement, regulators, payment processors, or third parties

List99 is not required to provide a reason for its enforcement decisions. All enforcement decisions are final, except where otherwise required by law.

6. User Content and License

You may submit listings, descriptions, photos, videos, reviews, communications, and other content (“User Content”). By submitting User Content, you grant List99 a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to host, store, copy, reproduce, modify, distribute, display, perform, publish, and create derivative works from such content in connection with operating, improving, promoting, and protecting the Platform.

You represent and warrant that you own or control all rights necessary to submit the content and that your content does not violate any law or third-party rights.

7. Intellectual Property

All Platform content, branding, software, design, layout, text, graphics, and other materials not submitted by users are owned by List99 or its licensors and are protected by law. No right, title, or interest is transferred to you except for the limited right to use the Platform as expressly permitted.

8. License to Access Platform

List99 grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for lawful purposes in accordance with these Terms.

You may not:

• Scrape, mine, harvest, or extract data
• Reverse engineer, decompile, or disassemble software
• Use bots, agents, or automation without authorization
• Commercially exploit Platform content or data without consent
• Use Platform data to train external AI systems or models

9. Prohibited Conduct

You may not engage in illegal, fraudulent, deceptive, abusive, harmful, or unsafe conduct, including but not limited to:

• Posting false or misleading listings or content
• Uploading malware or interfering with Platform operations
• Circumventing safeguards, payment systems, or fees
• Harassing, threatening, abusing, or impersonating others
• Manipulating search, rankings, reviews, disputes, or transactions

10. Third-Party Services

The Platform may integrate with payment processors, shipping carriers, analytics providers, fraud tools, identity verification services, advertising tools, AI services, and other third parties. List99 is not responsible for third-party services, acts, omissions, outages, or policies.

11. Pricing and Errors

List99 does not guarantee the accuracy of any listing, pricing, description, image, or other content. We may correct errors, remove listings, or cancel transactions at any time.

12. Risk of Loss

Risk of loss, title transfer, delivery obligations, and item condition disputes are matters between buyer and seller, except to the extent List99 elects to administer a dispute or refund under its policies.

13. Fees and Payments

List99 may charge fees for transactions, subscriptions, promotions, services, or other Platform features. Fees may be modified at any time. Failure to pay may result in collection efforts, restrictions, or suspension.

14. Payment Controls and Risk Management

List99 may impose payment holds, reserves, delayed disbursements, reversals, offsets, or account restrictions based on fraud indicators, chargebacks, account history, disputes, verification status, or other risk factors.

15. Automated Systems and AI

List99 may use AI and automated systems for listing generation, item recognition, categorization, moderation, fraud detection, trust and safety review, search ranking, recommendations, and dispute support. Such systems may act without human review and may be incomplete or inaccurate. You remain responsible for all content and conduct.

16. Sanctions and Compliance

You may not use the Platform in violation of sanctions, export controls, anti-money laundering laws, tax laws, or other applicable regulations.

17. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIST99 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIST99 SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, TRANSACTION LOSSES, OR BUSINESS INTERRUPTION. LIST99’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO LIST99 IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

19. Indemnification

You agree to indemnify, defend, and hold harmless List99 and its affiliates, officers, directors, employees, agents, licensors, contractors, and service providers from and against any claim, demand, liability, loss, damage, judgment, cost, or expense, including reasonable attorneys’ fees, arising out of or related to your content, listings, transactions, use of the Platform, violation of law, or breach of these Terms.

20. Arbitration and Class Action Waiver

To the fullest extent permitted by law, any dispute arising from or relating to the Platform or these Terms shall be resolved by binding individual arbitration and not by jury trial or class action. No class, collective, consolidated, or representative actions are permitted. If arbitration is not enforceable for a particular claim, the claim shall be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction and venue.

21. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where federal law requires otherwise.

22. Modifications

List99 may modify these Terms or any policy at any time by posting updated terms on the Platform. Continued use after updates constitutes acceptance of the revised terms.

23. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

24. Governing Language

The English-language version of these Terms controls in the event of any inconsistency with any translated version.
